Terms of Service

1. The agreement
These Terms are an agreement between you and Scriptaoke, LLC, a Delaware limited liability company ("Scriptaoke", "we", "us"). They govern your use of the Scriptaoke website and application at SCRIPTAOKE.COM, the Scriptaoke Zoom app, and any reading session you join by invite link.
By creating an account, joining a session, or otherwise using Scriptaoke, you agree to these Terms. If you do not agree, do not use the service.
Our Privacy Policy explains how we handle your information and forms part of this agreement.
2. What Scriptaoke is
Scriptaoke is a platform for reading scripts aloud together. You browse a catalog of literary works, assign roles, and run a synchronised teleprompter session — on your own, with a group over the web, or inside a Zoom meeting.
3. Beta
Scriptaoke is currently in beta. That means, plainly:
- Features may change, break, or disappear without notice.
- We make no uptime or availability commitment.
- Data may be reset. Do not rely on Scriptaoke as the only copy of anything you care about.
- Support is best-effort.
We will give reasonable notice before deliberately deleting user content, but we cannot promise it in every circumstance during beta.
4. Who can use it
You must be at least 16 years old to create a Scriptaoke account or to join a session as a guest. There are no exceptions, and we do not offer accounts for children.
If you host a session and invite other people, you are responsible for making sure everyone you invite meets this requirement. You are also responsible for any consent or permission that your own context requires — for instance if you are organising a reading in a workplace or a group setting.
You must also have the legal capacity to enter into this agreement, and you must not be barred from using the service under the law that applies to you.
5. Your account
You are responsible for your account and for anything done through it. Keep your password secure, use an email address you control, and tell us promptly at help@scriptaoke.com if you think someone else has got in.
Do not share your account, and do not create an account for someone else without their knowledge.
You can delete your account at any time. Deletion is permanent — see the Privacy Policy for what that removes and when.
6. Guests
You can join a reading by invite link without an account. If you do:
- You choose a display name that everyone else in the session can see.
- These Terms apply to you for that session, including the acceptable use rules in section 10.
- Your access lasts as long as the session does.
Whoever created the invite link controls who can use it. If you receive a link you did not expect, you do not have to use it.
7. Plans, billing, and cancellation
7.1 Right now
Scriptaoke is free. Nothing is charged, and no payment method is collected. Every registered account has full access during beta.
7.2 When paid plans launch
We intend to offer a paid subscription tier that removes the monthly cap on Zoom-based sessions. When it launches, these terms will apply:
- Subscriptions are monthly and renew automatically until cancelled.
- Prices are in US dollars and exclude any tax we are required to collect.
- You can cancel at any time. Cancellation takes effect at the end of your current billing period, and you keep access until then.
- We do not refund partial months, except where the law where you live says otherwise.
- Payments are handled by Stripe. We never receive or store your card details.
- We will give you at least 30 days' notice before any price increase, and you can cancel before it takes effect.
We will not begin charging any existing user without notice and an explicit opt-in. Free beta accounts will not silently convert into paid subscriptions.
7.3 Statutory rights
Nothing here removes rights you have under consumer law:
- If you are in the EU or the UK, you have a 14-day right to withdraw from a distance contract for digital services. Where you ask us to begin the service immediately and acknowledge that you lose the withdrawal right once it is fully performed, that right ends accordingly.
- If you are in Québec, the Consumer Protection Act applies to your contract with us and its protections take priority over anything inconsistent in these Terms.
- If you are in California or elsewhere with automatic-renewal legislation, we will give the disclosures and cancellation route that law requires.
7.4 Free plan limits
Free accounts include a monthly allowance of Zoom-based sessions. Web-based sessions are unlimited. We may adjust these allowances with reasonable notice.
8. The catalog
Scriptaoke's catalog consists of works we believe to be in the public domain in the United States, together with source attribution and license information shown on each script.
Copyright is territorial, and public-domain status is not the same everywhere. A work that is free to use in the United States may still be protected where you live — this is especially true of translations, which carry a separate copyright of their own with its own term.
You are responsible for deciding whether your intended use of a script is lawful where you are. We provide the sourcing and licensing information we hold so you can make that judgement, but we do not warrant that any work is free of rights claims in every jurisdiction, and we do not give legal advice about it.
If you believe something in our catalog is not in the public domain, tell us — see section 12.
9. What you create
9.1 You own it
Anything you create on Scriptaoke — saved quotes and quote cards, bookmarks, display names, problem reports — remains yours. We do not claim ownership.
9.2 The permission you give us
To run the service, we need a limited permission. You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, and display your content solely for the purpose of operating Scriptaoke and providing it to you and to the people you share it with.
That is the whole of it. Specifically:
- We will not use your quotes, display names, or content in marketing or promotional material without asking you first.
- We will not license your content to anyone else.
- The licence ends when you delete the content, apart from copies in routine backups that age out on the schedule in our Privacy Policy.
9.3 What you promise
By putting content on Scriptaoke, you confirm you have the right to do so and that it does not infringe anyone else's rights.
9.4 Uploads
Scriptaoke does not currently let users upload their own scripts. You may not upload, paste, or otherwise introduce third-party copyrighted text into the service, by any route including problem reports or display names. If we add an upload feature, we will publish terms for it.
10. Acceptable use
Do not:
- Break the law, or use Scriptaoke to help anyone else break it
- Harass, threaten, defame, or abuse other participants
- Use a display name that impersonates someone else, or that is obscene, hateful, or designed to harass
- Upload or transmit malware, or attack the service or its infrastructure
- Try to gain unauthorised access to any account, system, or data
- Scrape, crawl, or bulk-extract the catalog or any other part of the service
- Circumvent usage limits, session caps, or access controls, or create accounts to evade a ban
- Resell, sublicense, or commercially redistribute access to Scriptaoke without our written agreement
- Reverse engineer or decompile the service, except where law expressly permits it
- Use the service to generate, train, or fine-tune a machine learning model on our catalog, presentation, or metadata
Sessions are what their participants make them. We do not monitor live sessions, and we have no ability to review what is said during one. If someone in a session behaves badly, the host can remove them, and you can leave. Serious matters can be reported to support@scriptaoke.com.
11. Performing works
Scriptaoke is a tool for reading text aloud. What you choose to read, where, and to whom is your decision and your responsibility.
Reading a work privately among friends is generally a different matter from performing it publicly, broadcasting it, or recording and distributing it — and the rules vary by country. If you plan to do anything beyond a private reading, satisfy yourself that you have whatever permission you need.
We are not a party to your performance and we do not grant performance rights in anything.
12. Copyright complaints
We respect copyright and we respond to properly made complaints.
If you believe material on Scriptaoke infringes your copyright, send a notice to our designated agent:

Please include:
- Your physical or electronic signature
- Identification of the work you say is infringed
- Identification of the material on Scriptaoke you want removed, with enough detail for us to find it
- Your contact details
- A statement that you believe in good faith the use is not authorised by the owner, its agent, or the law
- A statement, under penalty of perjury, that the information is accurate and that you are the owner or authorised to act for them
We will remove or disable material that is the subject of a valid notice. If your material was removed and you think that was wrong, you can send a counter-notice with the equivalent information, and we will follow the process the law sets out.
We terminate the accounts of repeat infringers.
Note for the operator: the safe harbour that makes this process worth having is only available if the designated agent is registered with the U.S. Copyright Office and the registration is kept current. This section should not be published with the agent details blank.
13. Third-party services
Scriptaoke works alongside services we do not control — Zoom, Google, Stripe, and others.
Your use of those services is governed by their terms, not ours. If you connect your Zoom account, you also agree to Zoom's terms; the same applies to signing in with Google. We are not responsible for what those services do, for changes they make, or for their availability.
Details of what data passes between Scriptaoke and each of them are in our Privacy Policy.
14. Our rights
Scriptaoke — the software, the interface, the design, the catalog organisation and metadata, the name, and the logo — belongs to us or to our licensors, and is protected by intellectual property law. The underlying literary works are in the public domain; our presentation, structure, and metadata are not.
We grant you a personal, non-exclusive, non-transferable, revocable licence to use Scriptaoke under these Terms. That is all you get; nothing else is implied.
15. Suspension and termination
You can stop using Scriptaoke, or delete your account, at any time.
We may suspend or terminate your access if you break these Terms, if we are required to by law, or if your use puts the service or its users at risk. Where circumstances allow, we will tell you why and give you a chance to put it right.
Some access decisions — refusing a signup, blocking a network — are made automatically. If an automated decision has denied you access, write to support@scriptaoke.com and a person will review it. Our Privacy Policy sets out this right in full.
If your account ends, sections 8, 9.3, 11, and 14 through 21 survive.
16. Disclaimers
Scriptaoke is provided "as is" and "as available."
To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, that defects will be fixed, or that the catalog is complete, accurate, or free of rights claims anywhere in the world.
This is emphatically true during beta.
Some jurisdictions do not allow the exclusion of implied warranties. Where that is so, the exclusions above do not apply to you and any implied warranty is limited to the shortest period the law permits.
17. Limitation of liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunity, however caused and on any theory of liability, even if we were told such damages were possible.
- Our total aggregate liability arising out of or relating to Scriptaoke will not exceed the greater of the amount you paid us in the twelve months before the claim arose, or one hundred US dollars (US$100).
Nothing in these Terms limits liability for: death or personal injury caused by negligence; fraud or fraudulent misrepresentation; gross negligence or wilful misconduct; or anything else that cannot be limited under the law that applies to you.
If you are in Québec, the Consumer Protection Act limits the extent to which liability can be excluded, and your rights under it are unaffected. If you are a consumer in the EU or the UK, your mandatory statutory rights are unaffected.
18. Indemnity
You agree to indemnify and hold harmless Scriptaoke, LLC and its members, officers, and agents from any claim, loss, liability, or expense (including reasonable legal fees) arising from your use of the service, your content, your breach of these Terms, or your infringement of anyone else's rights.
This does not apply where the claim arises from our own breach, negligence, or wilful misconduct, and it does not apply to the extent that consumer law where you live prohibits it.
19. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. The courts located in New Castle County, Delaware have exclusive jurisdiction, and you consent to their jurisdiction and venue.
This does not take away your local protections. If you are a consumer in Québec, Canada, the European Union, the United Kingdom, or anywhere else whose law gives you the right to bring proceedings locally or to rely on mandatory consumer protections, those rights apply regardless of this section, and nothing here deprives you of the protection of provisions that cannot be derogated from by agreement under the law of your habitual residence.
There is no mandatory arbitration clause and no class-action waiver in these Terms. If we introduce one, it will be through the change process in section 20, with 30 days' notice.
20. Changes to these Terms
We may update these Terms. If a change is material, we will post the new version with a new effective date and notify registered users by email at least 30 days before it takes effect.
If you keep using Scriptaoke after a change takes effect, you accept it. If you do not accept it, stop using the service and delete your account before that date.

21. Odds and ends
Language. These Terms are drafted in English, and the English version governs. Les parties conviennent expressément que la présente convention soit rédigée en anglais. A French translation will be made available; if there is any conflict, the English version prevails except where Québec law requires otherwise.
Severability. If any provision is unenforceable, the rest stays in force and the unenforceable part is applied to the maximum extent permitted.
No waiver. If we do not enforce something, that is not a waiver of our right to enforce it later.
Assignment. You may not assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets, on notice to you.
Force majeure. We are not liable for failure to perform caused by events beyond our reasonable control.
Entire agreement. These Terms and the Privacy Policy are the whole agreement between us about Scriptaoke, and replace anything said before.
Relationship. Nothing here creates a partnership, joint venture, employment, or agency relationship.
